Provide templates for enterprise and consumer technology sales as needed including NDA, Evaluation Agreement, Quote, EULA, TOS, Hardware Warranty, Privacy Policy, Master License and Services Agreement, Pro Services Agreement, Reseller and Distributor Agreements for Channel Sales, Strategic Alliance Agreement (OEM, MSP, Outsourcer) and other templates required for sales and technology activities.

Manage and protect existing IP portfolio, advise internal clients on building and maintaining the IP portfolio, handle all trademark and copyright filings and issues, acquire IP from third parties, and handle any patent licensing resulting from internal or third party patent monetization programs or patent suits.

Advise and obtain licenses for US and Foreign Export Control and import compliance. Advise and assist with certifications on a global basis. Provide website and end user facing agreements such as privacy policy and TOS along with optimized agreements for distribution via the web site and partner portals.

Maintain existing corporate structure including subsidiaries and affiliates, create new entities as needed, handle corporate actions through unanimous written consents and Board actions, review and maintain meeting minutes, maintain or draft and implement equity compensation models. Advise on and lead financing transactions including angel and private equity funding rounds, strategic investments, convertible debt, joint ventures, and other methods with a focus on allowing the founders to retain control of their company. Handle acquisitions and integration as well as prepare for and execute an exit event when available.

Provide legal review of all company collateral, press releases, web sites, trade-show activities, user interfaces and other programs. Work in concert with marketing personnel to develop trademark and branding guidelines and ensure that all marketing activities comply with US and foreign laws, including competitive marketing.

Provide templates for procurements as needed including NDA, Evaluation, Purchase Order, Master Services Agreement, OEM-In Agreements, and Simple Consulting Agreement as well as others incident to the business operations. Revise existing templates as needed and negotiate procurement and technology in agreements. Draft and negotiate Real Estate and Banking agreements as needed. Assist and advise internal stakeholders in Procurement, IT, Business Development and Finance on matters as needed, including proper handling of buy / build scenarios.

Assist and advise the HR departments regarding employment law matters, review offer and termination letters, provide Employee Proprietary Rights Assignment Agreement that meets state laws where companies operate to protect the companies’ interest and IP, assist with legal review of employee policies and procedures, advise on training, and provide ancillary services as needed to support HR and employees. Provide advice and policies regarding ERISA and Executive Compensation and Benefits as needed.

Advise, develop and implement channel sales and partner sales programs including non-legal elements such as program construction, standard practices, channel conflict mitigation, price book / margin advice, and negotiate / engage with distributors, resellers and strategic partners and internal resources to develop a best of breed channel program. Implement Quote to Cash methodology by working with Finance / Revenue Recognition to optimize /streamline the contracting process that results in the desired revenue stream timing for the company. General advice regarding best practices related to sales and procurement models for the company developed from over 14 years of experience in Enterprise and Consumer Software and Hardware companies.

Advise and assist with procurement and integration of e-signature platform and cloud storage platform into existing CRM solutions, litigation management solution for companies with significant litigation costs, and open source / code base management software.
